Terms of Service

1. Acceptance of Terms

By accessing or using the Pros4Us mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the App.

These Terms apply to all visitors, users, and others who access or use the App, including but not limited to clients seeking services and service providers offering services.

We reserve the right to update or change these Terms at any time. Your continued use of the App following any changes constitutes acceptance of those changes.

2. Definitions

For the purposes of these Terms:

"App" refers to the Pros4Us mobile application

"Service" refers to the App and all related services provided by Pros4Us

"User," "You," and "Your" refers to the individual accessing or using the Service

"Client" refers to users seeking professional services

"Professional" refers to users offering professional services

"Content" refers to text, images, videos, or other materials

"Job" refers to project postings created by Clients

"Company," "We," "Us," and "Our" refers to Pros4Us

3. Account Registration

To use certain features of the App, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account. By registering, you represent that you have the legal capacity to enter into a binding contract.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. User Conduct and Responsibilities

You agree not to use the App to:

• Violate any laws or regulations
• Post false, inaccurate, or misleading content
• Impersonate any person or entity
• Harass, abuse, or harm another person
• Post spam or irrelevant content
• Upload viruses or malicious code
• Collect users' information without consent
• Interfere with the App's operation
• Attempt to gain unauthorized access
• Use the App for any illegal or unauthorized purpose

You are solely responsible for your interactions with other users. We do not screen users and make no representations regarding user reliability.

5. Platform Services

Platform Role — Venue Only. Pros4Us provides a technology platform that connects clients seeking construction, design, and related services ("Clients") with independent professionals offering those services ("Professionals"). Pros4Us is a venue only. We are not a party to, and do not participate in, any agreement, contract, transaction, communication, or dispute between Clients and Professionals. We do not provide construction, design, engineering, or any professional services, and we do not employ, supervise, direct, or control any Professional or the manner, means, methods, timing, or quality of their work.

Independent Professionals. All Professionals are independent third parties. No agency, partnership, joint venture, employment, or fiduciary relationship is created between Pros4Us and any user. Professionals are solely responsible for their own work, licensing, insurance, conduct, compliance with applicable laws, and the results of their services.

No Endorsement or Warranty of Users. Pros4Us does not endorse, recommend, guarantee, or warrant any Professional, Client, or any service, advice, or work performed. We make no representation or warranty regarding any user's identity, qualifications, licensing, insurance, background, skill, safety, legal compliance, or the quality, timeliness, or outcome of any services. All services are arranged at the users' own risk.

In furtherance of the above, Pros4Us does not:

• Employ, recommend, or endorse any Professionals
• Guarantee the quality, safety, or legality of services
• Independently verify the qualifications or licenses of Professionals, except as expressly described in the Verification section below
• Act as an agent for any User
• Control the conduct of Users

Users acknowledge that:

• All agreements are solely between Clients and Professionals
• We are not a party to any agreements between Users
• We do not guarantee job completion or payment
• Users are responsible for compliance with applicable laws
• Tax obligations are the sole responsibility of Users

6. Verification — Meaning and Limits

Where Pros4Us displays a "Verified" badge or similar indicator, it means only that, as of the date indicated, Pros4Us reviewed certain specific information (such as identity, a license number, or a certificate of insurance) from the source identified on the Professional's profile.

A Verified badge:

• Confirms only the specific item(s) stated, as of the date checked
• Is not an endorsement, guarantee, or warranty of the Professional's competence, quality, safety, honesty, or results
• May become inaccurate or outdated, and Pros4Us does not continuously monitor or re-verify
• Does not replace your own due diligence

The absence of a Verified badge does not imply anything about a Professional. You remain solely responsible for independently confirming any Professional's licensing, insurance, qualifications, and suitability before hiring. Pros4Us is not liable for any reliance on a Verified badge or on any information supplied by users.

7. Assumption of Risk and Due Diligence

You acknowledge that arranging or providing services through the App carries inherent risks, including the risk of unsatisfactory work, property damage, personal injury, financial loss, or unlawful conduct by other users.

You agree to conduct your own due diligence — including independently verifying licensing, insurance, references, and qualifications — and you assume all risk arising from your dealings with other users.

8. Professional Insurance and Licensing

Professionals are responsible for maintaining all licenses and insurance required by law for their services.

Pros4Us may require Professionals to provide proof of insurance and to name Pros4Us as an additional insured, but does not represent or guarantee that any Professional maintains adequate, current, or any insurance or licensing.

9. Content Ownership and License

Users retain ownership of content they post. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content
• Make your content available to other users as part of the Service

This license continues even if you stop using the App, to the extent your content has been shared with others.

You represent and warrant that:

• You own or have rights to use the content
• Your content does not infringe any third-party rights
• Your content complies with these Terms

10. Payments and Fees

Pros4Us is currently free to use, and the App does not process payments. We do not charge fees to post a job, express interest in a job, or message other users at this time.

Payments between users:

• Any payment for work is arranged and made directly between the Client and the Professional, outside the App.
• Pros4Us is not a party to those arrangements and does not process, hold, or guarantee any payment, nor is it responsible for invoicing, refunds, or payment disputes.
• Clients and Professionals are responsible for agreeing on price and payment terms and for their own taxes.

If we introduce paid features or fees in the future, we will update these Terms and clearly display any applicable fees in the App before you are charged.

11. Intellectual Property Rights

The App and its original content (excluding user content), features, and functionality are owned by Pros4Us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written consent.

You may not:

• Copy, modify, or distribute the App's source code
• Reverse engineer or attempt to extract source code
• Create derivative works based on the App
• Use our trademarks without permission
• Remove any proprietary notices

12. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the App, you consent to:

• Collection and use of information as described in the Privacy Policy
• Processing of your data in accordance with the Privacy Policy
• Cross-border transfer of your information

You agree to:

• Keep other users' information confidential
• Use personal information only for App-related purposes
• Not sell or misuse other users' information

13. Disclaimers and Limitations

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or absence of viruses
• Results from use of the App

We do not warrant that:

• The App will meet your requirements
• Defects will be corrected
• The App is free of harmful components
• User content is accurate or reliable

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Pros4Us SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages exceeding $100 or amounts paid to us in the past 12 months

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not we knew of the possibility of such damage.

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pros4Us, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

• Your violation of these Terms
• Your use of the App
• Your violation of any third-party rights
• Any agreements or transactions between you and other users
• Your content posted on the App
• Your violation of applicable laws

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.

16. Release of Claims Between Users

In addition to the indemnification obligations above, you release Pros4Us, its officers, directors, employees, and agents from any and all claims, demands, damages, and disputes of every kind arising out of or connected to disputes, transactions, agreements, services, acts, or omissions between you and any other user.

California residents — Waiver of Civil Code Section 1542. You expressly waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You understand you are releasing both known and unknown claims.

17. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement
• Extended periods of inactivity
• Fraudulent or illegal activity
• Technical or security issues

Upon termination:

• Your right to use the App ceases immediately
• We may delete your account and content
• Provisions that should survive termination will remain in effect

You may terminate your account at any time through the App settings.

18. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law.

Arbitration Process:

• Arbitration will be conducted by JAMS under its rules
• Arbitration will be held in San Francisco, California
• Each party bears its own costs
• The arbitrator's decision is final and binding

Class Action Waiver:

You agree to resolve disputes only on an individual basis and waive any right to bring or participate in any class or collective action.

Small Claims Court:

Either party may bring qualifying claims in small claims court.

19. General Provisions

Governing Law:

These Terms are governed by the laws of California, USA, without regard to conflict of law principles.

Entire Agreement:

These Terms constitute the entire agreement between you and Pros4Us regarding the App.

Severability:

If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver:

No waiver of any term shall be deemed a further or continuing waiver.

Assignment:

We may assign these Terms; you may not assign them without our consent.

Notice:

We may provide notice via email, app notification, or posted notice on the App.
